NOUS Token ("the Protocol", "we", "us") operates a transparent API gateway at gateway.nousai.cc, a dashboard at token.nousai.cc, and a set of smart contracts on the Base blockchain. The Protocol provides infrastructure for recording, verifying, and inscribing AI usage data on-chain.
The gateway proxies your API requests to AI providers (Anthropic, OpenAI, Google, etc.) and records usage metadata — model name, token count, and wallet address. It does not read, store, log, or retain the content of your requests or responses.
The gateway signs cryptographic usage receipts, anchors Merkle roots on the Base blockchain, and enables minting of ERC-721 tokens ("Token-20 Proofs") representing verified records of AI consumption.
Token-20 Proofs are cryptographic records of historical AI token consumption. They are not securities, investment contracts, financial instruments, or investment products of any kind.
Each Token-20 Proof represents a verified fact: that a specific quantity of AI tokens was consumed, by a specific wallet, using a specific model, at a specific block number, as signed by the gateway and anchored in a Merkle root on the Base blockchain.

All fees are collected via USDC through ERC-3009 (transferWithAuthorization) at the time of inscription. The Protocol does not custody, pool, or hold user funds at any point.
A "Series" is a collection of Token-20 Proofs organized around a specific theme, model, or purpose, deployed by an independent "Series Creator."
Series Creators are independent third parties. They are not employees, agents, partners, or affiliates of the Protocol. The Protocol does not control, endorse, verify, or take responsibility for any Series Creator's pricing, marketing, communications, promises, products, or services.
By deploying a Series, each Series Creator acknowledges and agrees that:

Any dispute, claim, or disagreement arising between a Series Creator and an inscriber — including but not limited to disputes over Creator Fees, the quality or delivery of any product or service offered by a Creator, or any representations made by a Creator — shall be resolved exclusively between the Creator and the inscriber. The Protocol is not a party to any such dispute and has no obligation to mediate, arbitrate, investigate, or resolve any claim between Creators and inscribers.
The Protocol's sole obligation with respect to Series is to provide the technical infrastructure for inscription and on-chain recording. The Protocol does not verify, endorse, or guarantee any Creator's identity, reputation, products, services, or fitness for any purpose.
We do not sell, provide, or manage API keys. You must have your own valid API key from the AI provider you wish to use. Your API key is hashed for pseudonymous identification — we never store your key in plaintext.

The gateway pipes request and response bodies directly between you and the AI provider. It does not parse, store, or log conversation content. This is verifiable by auditing the open-source code.
What we do record:
This usage data is publicly queryable via the dashboard and API. By using the gateway, you consent to your usage metadata being visible on the leaderboard and through the API.
When you associate a wallet address with your usage, this binding is recorded and may be difficult or impossible to change. Verify your wallet address carefully before binding. We are not responsible for usage attributed to an incorrect wallet address.
The service enables optional on-chain operations on the Base network (Layer 2 on Ethereum), including storing usage proofs and minting ERC-721 tokens. By initiating any on-chain transaction, you acknowledge:
Usage receipts reflect the token counts reported by the AI provider in their API response. We sign what the provider reports — we do not independently count tokens. If a provider reports incorrect token counts, the receipt will reflect that inaccuracy. We are not responsible for discrepancies in provider-reported usage data.
The gateway proxies requests to third-party AI providers. We are not affiliated with, endorsed by, or responsible for these providers. We do not guarantee their availability, accuracy, or compliance with any regulations. If a provider changes their terms, restricts proxy usage, or revokes your API key, that is between you and the provider.
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the service. Our total liability for any claim shall not exceed the amount of Protocol Fees you have paid in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

The Protocol reserves the right to implement wallet screening, transaction monitoring, and other compliance measures at any time. The Protocol may refuse service to, block transactions from, or freeze interactions with any wallet address that the Protocol reasonably believes is associated with prohibited activity, sanctioned persons, or jurisdictions subject to sanctions. No prior notice is required.

We may update these terms at any time. Continued use of the service after changes constitutes acceptance. Material changes will be noted by updating the date at the top of this page.
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
These terms shall be governed by the laws of the jurisdiction in which the service operator is incorporated, without regard to conflict of law principles.
